A functional and up-to-date shareholders’ agreement can protect the shareholders and partners in case of any relationship breakdown. A reasonable shareholder agreement defines the ambit and scope of the partnership, the responsibilities of each shareholder, how the business is to be managed and run, how the records are to be kept, if any salary is payable to either or both of the shareholders and most importantly, how the shareholders can separate and/or buy out one another.
